1. Acceptance of Terms
By accessing and using Cloudcore Information Tech Inc's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms govern your use of our cloud infrastructure, software services, and technical support offerings.
2. Service Description
Cloudcore operates enterprise-grade cloud infrastructure and delivers software-based IT services directly to business clients. Our services include: cloud server hosting, data center operations, cybersecurity monitoring systems, software application development, database hosting services, and managed IT infrastructure support. All services are provided on a subscription basis with transparent pricing.
3. User Accounts and Registration
To access our services, you must register for an account. All account registrations are subject to administrator approval. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep your account information updated.
4. Subscription and Payment Terms
Our services are provided on a subscription basis. Payment terms are specified in your service agreement. All fees are stated in USD or EUR and are non-refundable except as required by law. We reserve the right to modify our pricing with 30 days' notice to active subscribers. Failure to pay subscription fees may result in service suspension or termination.
5. Service Level Agreement (SLA)
Cloudcore commits to maintaining 99.9% uptime for our cloud infrastructure services. We operate our own data centers and provide 24/7 technical monitoring. In the event of service disruptions beyond our SLA commitments, customers may be eligible for service credits as specified in their individual service agreements.
6. Acceptable Use Policy
You agree to use our services only for lawful purposes. Prohibited activities include: hosting illegal content, conducting unauthorized security testing, sending spam or malware, violating intellectual property rights, and attempting to compromise our infrastructure. Violation of these terms may result in immediate service termination without refund.
7. Data Ownership and Security
You retain all rights to your data stored on our infrastructure. Cloudcore implements industry-standard security measures including encryption, firewalls, and access controls. We perform regular backups of customer data. However, you are responsible for maintaining your own backup copies of critical data.
8. Limitation of Liability
Cloudcore's total liability for any claims arising from our services shall not exceed the amount paid by you for services during the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages. This limitation applies to the fullest extent permitted by law.
9. Service Modifications and Termination
We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice. Either party may terminate the service agreement with 30 days' written notice. Upon termination, you will have 30 days to retrieve your data before it is permanently deleted from our systems.
10. Intellectual Property
All software, platforms, and technologies developed and operated by Cloudcore remain our exclusive intellectual property. You receive a limited, non-transferable license to use our services during your active subscription period.
11. Governing Law and Dispute Resolution
These terms are governed by the laws of Delaware, United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Legal proceedings may only be brought in the courts of Delaware.
